Search Anywhere Framework End User License Agreement

SAF SYSTEMS LLC LICENSES THIS PROGRAM, TOOL, PLUG-IN, ADD-ON, TECHNICAL ADD-ON, APPLICATION, SOLUTION, LIBRARY, CONTENT, DATA, EXAMPLE MODULE, FILES, COMMAND, SERVICE OR OTHER ITEM OR MATERIAL (THE "SAF") TO YOU ONLY UPON THE CONDITION THAT YOU ACCEPT ALL OF THE TERMS CONTAINED IN THIS END USER LICENSE AGREEMENT ("AGREEMENT"). IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE SAF.

1. Introduction

This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and SAF Systems ("Company") for the Search Anywhere Framework ("Product", "SAF"), which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA.

2. License Grant

2.1 License

Subject to the terms and conditions of this Agreement, SAF Systems grants to you a worldwide, non-exclusive, non-transferable, non-sublicensable license to download and use the SAF for your internal business purposes and only in connection with the specific SAF Systems software product or web-based or hosted service identified in materials distributed with the SAF, with which such SAF was designed to operate ("SAF Systems Software"). Therefore, you may use the SAF only if you are an authorized licensee or customer of the SAF Systems Software and for the term and within the scope of the license granted for the SAF Systems Software. This Agreement does not modify or alter the terms of the software license agreement or terms of service delivered with the SAF Systems Software. SAF Systems and its licensor(s) own all rights, title and interests to the SAF, including all intellectual property rights related thereto.

2.2 Restrictions

You shall not:
  • Modify, adapt, alter, translate, or create derivative works from the SAF.
  • Merge the SAF with other software.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the SAF, except to the extent expressly permitted by applicable law.
  • Rent, lease, loan, sublicense, distribute, or otherwise transfer the SAF to any third party.

3. Ownership

The SAF is licensed, not sold. Title, ownership rights, and intellectual property rights in and to the SAF remain in SAF Systems and/or its suppliers or licensors. The SAF is protected by copyright and other intellectual property laws and treaties.

4. Support and Maintenance

4.1 Support

Company may provide you with support services related to the SAF ("Support Services"). Use of Support Services is governed by the Company's policies and programs described in the user manual, in "online" documentation, and/or other Company-provided materials.

4.2 Maintenance

Company may provide updates or modifications to the SAF ("Updates"). If Updates are provided, they will be considered part of the Software and subject to the terms and conditions of this EULA.

5. Term and Termination

5.1 Term

This EULA is effective from the date you install or otherwise use the SAF and shall continue until terminated.

5.2 Termination

Company may terminate this EULA immediately upon written notice to you if you breach any term of this EULA. Upon termination, you must cease all use of the SAF and destroy all copies of the SAF.

6. Warranty

THE SAF IS FURNISHED ON AN "AS IS" BASIS, AND SAF SYSTEMS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, WARRANTIES OF NON-INFRINGEMENT OF THIRD-PARTY RIGHTS, OR OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTIES ARISING BY STATUTE OR OTHERWISE IN LAW, OR FROM A COURSE OF DEALING OR USAGE OF TRADE. SAF SYSTEMS SPECIFICALLY DOES NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS; WILL OPERATE IN ALL THE COMBINATIONS WHICH MAY BE SELECTED FOR USE BY YOU; THAT THE OPERATION OF THE SAF WILL BE ERROR-FREE OR UNINTERRUPTED, ACCURATE, USEFUL, RELIABLE, OR COMPLETE; OR THAT ALL ERRORS OR DEFECTS IN THE SAF WILL BE CORRECTED. NEITHER SAF NOR ITS LICENSOR SHALL BE LIABLE FOR ANY DAMAGES WHATSOEVER ARISING FROM OR RELATING TO YOUR USE OR INABILITY TO USE THE SAF. YOU USE THE SAF AT YOUR OWN RISK.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMPANY OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY, ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE).

8. Specific Terms for Search Anywhere Framework

8.1 Scope of Use

The SAF is intended for use solely in connection with SAF Systems's authorized products and services. You agree to use the SAF only in the manner specified in the accompanying documentation.

8.2 Third-Party Components

The SAF may include components developed by third parties. Such components are licensed to you under the terms of the respective third-party licenses, which can be found in the accompanying documentation.
